Notice of Special General Meeting 2023

In accordance with Rule 23(2a) of the Rules of the Motor Traders’ Association of New South Wales (the Association) the President has directed the Chief Executive Officer to convene a Special General Meeting of the Association as per the following details:

Notice of Special General Meeting
The MTA NSW Rules be amended as set out in the ‘
Explanatory Memorandum
’. The proposed amendments are required to align the electoral process for the positions on the Governing Council and the Executive Board.
To consider and pass a resolution as follows:
“That the Association adopt the amendments to the Rules as outlined in the explanatory memorandum”.
SUMMARY OF KEY CHANGES
a) The Executive Board will become the governing body for the overall management and control of the Association in place of the Governing Council.
b) The Governing Council will be renamed the “Advisory Council”, whose members will be referred to as Councillors but will not be Office holders under the Fair Work (Registered Organisations) Act 2009.
c) The election of Councillors will be conducted by the Association and the election of the Executive Board will be conducted by the Australian Electoral Commission (AEC) involving all the membership of the Association.
d) The election of President and Vice President will be conducted from the Executive Board and by the AEC
e) The Office of Secretary and Treasurer will be abolished.
